1. Agreement to Terms

By accessing or using the Compliable API service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Compliable ("Compliable," "we," "us," or "our").

2. Description of Service

Compliable provides an API that analyzes text content for compliance with various regulations including GDPR, EU AI Act, CCPA, HIPAA, and FTC guidelines. The Service returns structured JSON responses identifying potential regulatory violations.

IMPORTANT: The Service provides automated compliance analysis as a development tool. It does not constitute legal advice. You are solely responsible for ensuring your content and applications comply with all applicable laws and regulations.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity that occurs under your account. You may not share your API keys or account credentials with third parties.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service to:

  • Check compliance of AI-generated or human-written content
  • Integrate compliance checking into your applications or workflows
  • Conduct internal compliance testing and development

4.2 Prohibited Uses

You may NOT:

  • Violate any applicable laws or regulations
  • Submit content containing personal data of third parties without proper consent
  • Attempt to reverse engineer, decompile, or extract the Service's algorithms
  • Use the Service to build a competing compliance checking service
  • Exceed rate limits or attempt to circumvent usage restrictions
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Submit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems

5. Pricing and Payment

5.1 Subscription Plans

We offer multiple subscription tiers as described on our Pricing page. Each tier includes a monthly allotment of compliance checks and token limits.

5.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • Annual subscriptions receive a 25% discount
  • Usage beyond your plan's limits will be billed as overage at our standard rates
  • All fees are non-refundable except as required by law

5.3 Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. You must maintain valid payment information.

5.4 Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6. API Usage and Rate Limits

Your use of the API is subject to:

  • Rate limits: Maximum requests per second/minute based on your plan
  • Token limits: Maximum tokens per request based on your plan
  • Monthly quotas: Total compliance checks per month as specified in your plan

If you exceed rate limits, we may temporarily throttle your requests (HTTP 429 responses). Implement exponential backoff to handle rate limit errors.

7. Data Processing and Privacy

Content you submit to the API is:

  • Processed in-flight and immediately discarded after analysis
  • NOT stored, logged, or retained by Compliable
  • NOT used to train AI models or for any purpose other than providing compliance analysis

We retain only metadata (timestamp, token count, API key used) for billing and analytics purposes.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted availability. The Service may be unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Third-party service failures beyond our control
  • Force majeure events

8.2 Support

Technical support is provided via:

9. Intellectual Property

9.1 Our IP

The Service, including all software, algorithms, documentation, and branding, is owned by Compliable and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the API solely as permitted by these Terms.

9.2 Your Content

You retain all rights to content you submit to the API. By submitting content, you grant us a limited license to process it solely for the purpose of providing compliance analysis. This license terminates immediately after we return the analysis results.

10. Disclaimers and Limitations of Liability

10.1 No Legal Advice

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. Compliance analysis is provided for informational and development purposes only. You should consult with qualified legal counsel to ensure your content and applications comply with applicable laws.

10.2 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIABLE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Regulatory fines, penalties, or legal fees resulting from compliance failures
  • Any damages exceeding the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless Compliable from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Content you submit to the API

12. Termination

12.1 Termination by You

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

12.2 Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in abusive, fraudulent, or illegal activity
  • Pose a security risk to the Service or other customers

12.3 Effect of Termination

Upon termination:

  • Your API keys will be immediately revoked
  • You will no longer have access to the Service
  • We may delete your account data after 90 days (subject to legal retention requirements)
  • Fees paid are non-refundable unless required by law

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending an email to your registered email address

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to changes, you must cancel your subscription.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  • Informal negotiation: First, contact us to attempt to resolve the dispute informally
  • Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association rules
  • Individual claims only: You agree to waive any right to bring claims as a class action

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compliable
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate
  • Force Majeure: We are not liable for failures due to causes beyond our reasonable control
